Terms of Use
These Terms of Use (“Terms”) govern your access to and use of the Atlas oracle protocol (“Protocol”), including its smart contracts, software, APIs, price feeds, data services, and related functionality (collectively, the “Services”). By accessing or using the Services, you have read, understood, and agreed to be bound by all of these Terms.
1. Eligibility and User Responsibilities
By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms and that you will comply with all applicable laws, rules, and regulations. You further represent that you possess sufficient technical knowledge to understand the risks associated with blockchain technology, smart contracts, and oracle systems. You acknowledge that you are solely responsible for your use of the Services and for any outcomes resulting from such use. You further acknowledge and agree that if any of the foregoing representations or warranties are found to be untrue, inaccurate, or misleading at any time, the Protocol reserves the right to suspend or terminate your access to and use of the Services, with or without notice.
2. No Advice and No Reliance
All data and information provided through the Services are provided solely for informational purposes and do not constitute financial, investment, legal, or tax advice. Nothing in the Services or these Terms shall be construed as creating any fiduciary relationship, advisory relationship, or duty of care. You acknowledge that you are solely responsible for independently evaluating and verifying any data before relying on it.
3. Data Sources and Aggregation
The Services rely on data aggregated from multiple third-party sources, including centralized exchanges, decentralized exchanges, and other data providers. You acknowledge that such data sources may be unreliable, delayed, incomplete, or subject to manipulation or outages, and that aggregation methodologies may vary and may be configurable by users or integrators. You further acknowledge that different configurations may produce materially different outputs. The Protocol does not guarantee the accuracy, completeness, or timeliness of any data provided through the Services.
4. Consensus Score and Data Quality Indicators
The Services may provide additional data quality indicators, including but not limited to a “consensus score” or similar metrics (collectively, “Data Quality Indicators”), which are intended to reflect the degree of agreement, weighting, or consistency among underlying data sources. You acknowledge and agree that such Data Quality Indicators do not represent statistical confidence intervals, error bounds, or probabilistic guarantees of accuracy, and are not necessarily comparable to similar metrics used by other oracle providers. You further acknowledge that such Data Quality Indicators are provided solely for informational and reference purposes and must not be relied upon as a guarantee of correctness, precision, or reliability of any data provided through the Services, and that they may be incomplete, misleading, or subject to rapid change under certain market conditions. The Protocol makes no representation or warranty that higher consensus scores correspond to higher accuracy, reliability, or suitability for any particular use case, and you agree that you will not rely on such Data Quality Indicators as the sole basis for any automated or material decision-making, including but not limited to liquidation, margining, or risk management systems.
5. Data Delivery Mechanisms
The Services may provide both push-based and pull-based data delivery mechanisms. You acknowledge that data availability and freshness depend on various factors, including network conditions, system design, and user interaction, and that delays, interruptions, or failures in updates may occur. You further acknowledge that the use of the Services may require payment of transaction fees and that execution timing, network congestion, and integration design may materially affect outcomes.
6. Integration and Use of Services
If you integrate or otherwise use the Services within any application, protocol, or system (an “Integration”), you acknowledge and agree that you are solely responsible for the design, implementation, and operation of such Integration. This includes the obligation to implement appropriate safeguards, validation checks, fallback mechanisms, and monitoring systems. You assume all risks associated with reliance on the Services, and you acknowledge that the Services are provided as infrastructure only without guarantees of suitability for any specific use case.
7. Oracle Extractable Value
The Services may include mechanisms designed to capture and redistribute Oracle Extractable Value, including value arising from oracle-triggered events such as liquidations. You acknowledge that such mechanisms may introduce novel economic incentives and behaviors and that outcomes may vary based on market conditions, network activity, and participant actions. No representations or warranties are made regarding the fairness, efficiency, or results of such mechanisms.
8. Event-Based and Prediction Oracles
The Services may include event-based or prediction oracle functionality. You acknowledge that such functionality may depend on external data sources, subjective determinations, or governance processes and may therefore be delayed, disputed, or incorrect. No guarantees are provided regarding the accuracy, completeness, or finality of such outputs.
9. Third-Party Dependencies
The Services may depend on third-party infrastructure, including blockchain networks such as BNB Chain, data providers, relayers, and other external systems. The Protocol does not control such third parties and is not responsible for any failures, errors, delays, or security vulnerabilities arising from such dependencies.
10. Fees, Gas Costs, and Abnormal Market Conditions
Your use of the Services may require the payment of fees, including but not limited to transaction (gas) fees and service-related charges. You acknowledge that such costs may fluctuate significantly due to factors beyond the Protocol’s control, including congestion on underlying blockchain networks and volatility in the price of native tokens used to pay such fees.
In the event of abnormal or unforeseen conditions, including but not limited to sudden or extreme increases in gas fees, rapid appreciation or volatility in the price of native tokens, network instability, or other market dislocations (“Abnormal Conditions”), the Protocol reserves the right to adjust, pass through, or recover any additional costs incurred in connection with the provision of the Services. This may include the right to charge users or integrators for the difference between expected and actual costs, whether retrospectively or on a forward-looking basis, to ensure that the Protocol is not economically disadvantaged by such Abnormal Conditions.
You acknowledge and agree that you are responsible for all such costs and that failure to pay any applicable amounts may result in suspension or termination of access to the Services.
11. Prohibited Conduct
You agree not to, directly or indirectly, engage in any conduct that harms, disrupts, or improperly uses the Services. This includes exploiting vulnerabilities, attempting unauthorized access, or circumventing any security features or safeguards implemented by the Protocol. You further agree not to manipulate or interfere with any data inputs, outputs, aggregation mechanisms, or underlying data sources, including through market manipulation, coordinated activity, or the submission of false or misleading data, nor to disrupt or overload the Services or related infrastructure through automated scripts, bots, scraping tools, or other abusive usage.
You shall not copy, extract, reproduce, or commercially exploit any data provided by the Services except as expressly permitted, nor use automated means to access such data in a manner that exceeds normal usage or bypasses technical restrictions. You also agree not to reverse engineer, decompile, or attempt to derive the source code, methodologies, or underlying structure of the Services, or use the Services to develop competing products or services.
You shall not impersonate any person or entity, misrepresent your affiliation, introduce malicious code, or use the Services for any unlawful, fraudulent, or deceptive purpose or in violation of applicable laws or third-party rights.
Without limiting the foregoing, you agree not to engage in any activity intended to manipulate, distort, or improperly influence oracle data or outputs for financial or other gain, including by influencing prices on underlying data sources, exploiting latency or timing differences, taking advantage of stale data or update mechanisms, triggering liquidations, arbitraging discrepancies, or otherwise engaging in abusive or adversarial strategies. You acknowledge that the Services may be used in connection with sensitive functions such as collateral valuation, liquidation, margining, and settlement, and you agree not to engage in any conduct that could reasonably impair the integrity, accuracy, or reliability of the Services.
The Protocol reserves the right, in its sole discretion, to determine whether any activity violates this Section and to investigate and take any action it deems appropriate, including suspending or terminating your access to the Services without notice and pursuing any available legal remedies.
12. Intellectual Property
The Services, including all software, smart contracts, data, price feeds, methodologies, algorithms, interfaces, documentation, and related materials, are owned by the Protocol or its licensors and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, the Protocol grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose. Except for such limited rights, no ownership, license, or other rights in or to the Services or any intellectual property are granted to you, and all rights not expressly granted are reserved by the Protocol and its licensors.
The Services may include open-source components subject to their respective licenses, and your use of such components is governed by the applicable open-source terms. You agree to comply with all such licenses and acknowledge that open-source components are provided without warranties of any kind.
You shall not copy, reproduce, modify, distribute, display, perform, publish, create derivative works from, or otherwise exploit any part of the Services, including any data or price feeds, except as expressly permitted by the Protocol. You further agree not to remove, alter, or obscure any proprietary notices, including copyright, trademark, or other intellectual property notices, and not to access or use the Services for the purpose of developing competing products or services.
All trademarks, service marks, logos, and branding associated with the Protocol are the property of the Protocol or its licensors, and you may not use, reproduce, or display such marks without prior written consent. You shall not imply any affiliation with, endorsement by, or association with the Protocol without authorization.
13. Disclaimers
To the fullest extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. The Protocol and its contributors expressly disclaim all warranties, whether express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement. You acknowledge that errors, delays, or failures in oracle data may result in significant financial losses.
14. Limitation of Liability
To the maximum extent permitted by law, the Protocol, its contributors, developers, and affiliates shall not be liable for any damages arising out of or in connection with the Services, including any loss of funds, profits, data, or opportunity, or any indirect, incidental, consequential, special, or punitive damages. This includes, without limitation, damages arising from reliance on oracle data, liquidation events, pricing inaccuracies, smart contract vulnerabilities, or integration errors, even if such damages were foreseeable.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Protocol, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to: (i) your use of the Services; (ii) any violation or alleged violation of these Terms; (iii) any violation of applicable law or regulation; (iv) your misconduct, abuse, or misuse of the Services, including any attempts to manipulate, distort, or improperly influence oracle data or outputs; or (v) your infringement of any third-party rights, including intellectual property or privacy rights. The Protocol reserves the right, at its sole discretion, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with the Protocol in asserting any available defenses.
16. Modifications, Suspension and Termination
The Protocol reserves the right, at any time and without notice, to modify, update, interrupt, discontinue, suspend, or restrict access to the Services, in whole or in part, including in cases where you violate these Terms or where such action is necessary to comply with applicable laws or to protect the integrity of the Services. The Protocol may also update these Terms from time to time, and your continued use of the Services constitutes acceptance of any such updates.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to any conflict of laws principles. Any dispute, claim, or controversy arising out of or in connection with these Terms, the Services, or their subject matter shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you hereby submit to the personal and exclusive jurisdiction of such courts. You agree that any legal action or proceeding relating to these Terms or the Services shall be brought solely in the courts in England and Wales, and you waive any objection based on venue or inconvenient forum.
18. General
These Terms constitute the entire agreement between you and the Protocol with respect to the Services. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
